Ulatu Terms and Conditions

These Terms and Conditions govern the use of services provided by Ulatu (“Ulatu”, “we”, “us” or “our”). By registering, ordering or using any service provided by Ulatu, you agree to be bound by these Terms and Conditions.

If you do not agree to these Terms and Conditions, you should not register or purchase or use our services.

1. Our Services

Ulatu provides web hosting, domain registration, website-related and associated internet services.

The exact features, resources, limitations and pricing of a particular service are those stated on the relevant product or service description at the time of purchase.

We aim to provide reliable and continuous service, but no online service can guarantee to be available without interruption. Maintenance, technical problems, network problems, security incidents and circumstances outside our reasonable control may occasionally affect availability.

2. Customer Responsibility

You are responsible for all content, files, applications, websites, email accounts and other material stored on or transmitted through your hosting account.

You are also responsible for ensuring that anything hosted on your account complies with these Terms and Conditions and all applicable laws and regulations.

You must take reasonable steps to protect your account credentials and must not allow your account to be used for unlawful, abusive or harmful activity.

Where you permit another person or organisation to operate a website or service using your hosting account, you remain responsible for ensuring that their use of the service complies with these Terms and Conditions.

3. Acceptable Use

Our hosting services are intended for legitimate websites and online services.

You must not use our services to host, distribute, transmit or facilitate material or activity that:

  • is unlawful or facilitates unlawful activity
  • infringes copyright, trademarks, intellectual property rights or other rights belonging to another person
  • contains or distributes malware, viruses, ransomware, malicious scripts or other harmful software
  • attempts to gain unauthorised access to computers, networks, accounts or systems
  • conducts or facilitates phishing, fraud, scams or other deceptive activity
  • conducts attacks against other systems, including denial-of-service attacks
  • deliberately attempts to circumvent security controls or abuse network or system resources
  • causes, or is reasonably likely to cause, significant harm to our infrastructure, network or other customers
  • uses our services to send unsolicited bulk email or other abusive communications
  • hosts adult or sexually explicit material
  • encourages, promotes or facilitates self-harm or suicide
  • encourages or facilitates violence or other serious criminal activity
  • creates a significant risk to our systems, network, other customers or the wider internet.

We reserve the right to determine whether particular use of our services presents an unacceptable risk or breaches these Terms and Conditions.

4. Protection of Our Infrastructure and Network

We will always take reasonable steps to protect our hardware, software, infrastructure and network.

We may take action where a customer’s website, account, application or activity presents a threat or potential threat to our systems, our network, other customers, internet users or the wider internet.

This may include restricting network access, disabling particular services, isolating an account, suspending a website or account, or taking other reasonable technical measures.

These measures may be taken where the risk is intentional or accidental. A customer does not need to have intended to cause harm for us to take protective action.

Where circumstances permit, we will attempt to contact the customer and explain the reason for any restriction or suspension. However, where immediate action is necessary to protect our infrastructure, network, customers or third parties, we may take action without prior notice.

5. Suspension of Services

We may suspend all or part of a customer’s service where we reasonably believe that:

  • the customer has breached these Terms and Conditions
  • the customer’s account is being used for unlawful or abusive activity
  • a website or application presents a security risk
  • the website or account presents a risk to our hardware, infrastructure or network
  • the activity presents a risk to other customers or internet users
  • the account is involved in an attack or other activity that could adversely affect the wider internet
  • payment for the service is overdue
  • suspension is necessary to comply with a legal or regulatory requirement
  • immediate action is reasonably necessary to protect our systems or third parties

Where practical, we will allow the customer to resolve the issue before restoring the service.

Suspension does not necessarily terminate the customer’s contract or remove any outstanding payment obligations.

6. Payment and Recurring Charges

Hosting and other recurring services are normally billed in advance according to the billing period selected by the customer.

The customer is responsible for ensuring that valid payment details are maintained on their account.

Where a payment attempt fails, Ulatu may retry the payment using payment methods currently saved to the customer’s account.

By saving a payment method to an Ulatu account and agreeing to these Terms and Conditions, the customer authorises Ulatu and its payment provider to use eligible saved payment methods to collect amounts that are due and payable for services supplied by Ulatu, including where a previous payment attempt has failed.

We will not use a saved payment method to collect amounts that are not legitimately due under the customer’s account.

If payment remains unsuccessful, we may suspend or terminate the affected service in accordance with these Terms and Conditions.

7. Free Domains and Minimum Hosting Period

Some hosting packages may include a free domain registration or renewal as part of the package.

Where a customer chooses to claim a free domain included with a hosting package, the customer agrees to maintain the associated hosting service for a minimum period of six months from the date the hosting service begins.

The purpose of this condition is to prevent the free domain offer from being used as a means of obtaining a domain without maintaining the hosting service for the period associated with the promotional offer.

If the customer cancels the hosting service before the end of the six-month period, any applicable outstanding amount relating to the promotional offer may become payable, subject to applicable law and the terms presented to the customer when the offer was purchased.

This provision does not affect any statutory cancellation or consumer rights that cannot lawfully be excluded.

8. Cancellation

Customers may cancel their services through the Ulatu Members Portal.

Cancellation requests made through the Members Portal will be processed in accordance with the billing and cancellation terms applicable to the service.

Customers remain responsible for charges properly incurred before cancellation and for any minimum contractual commitment that applies to the service, subject to applicable law.

Where a customer has purchased a service with a minimum term or promotional condition, cancellation before the end of that term may result in amounts becoming payable as specified when the service was purchased.

9. Domains

Domain registrations and renewals are subject to the rules and policies of the relevant domain registry.

Ulatu may act as an intermediary or reseller for domain registration services. Domain names remain subject to the applicable registry’s terms and policies in addition to these Terms and Conditions.

Domain registration fees are generally non-refundable once a registration or renewal has been successfully processed, except where a refund is required by law or specifically offered by the relevant service.

10. Backups

Ulatu may maintain backups of customer data as part of its infrastructure and operational processes.

However, unless a specific backup service has been purchased, backups should not be regarded as a guaranteed customer backup service.

Customers are responsible for maintaining their own copies of important data.

Ulatu will not be responsible for loss of data where the customer has failed to maintain appropriate independent backups, subject always to any liability that cannot lawfully be excluded.

11. Software and Third-Party Applications

Customers may install and operate software and applications supported by their hosting service.

Customers are responsible for keeping their software, applications, themes, plugins and other third-party components appropriately maintained and secured.

Ulatu may require software that presents a security or stability risk to be updated, disabled or removed.

Where a vulnerable application or component presents a significant threat to our infrastructure, network or other customers, we may take immediate protective action.

12. Resource Usage

Hosting services operate within the resource limits applicable to the customer’s particular package.

Customers must not deliberately consume excessive resources or use their account in a manner that adversely affects other customers or the operation of our systems.

Where an account is causing significant resource, performance or stability problems, we may contact the customer and recommend an appropriate solution, including upgrading the hosting service.

Where immediate action is necessary to protect our infrastructure or other customers, we may temporarily restrict or suspend the affected service.

13. Email and Abuse

Customers must not use Ulatu services for spam, unsolicited bulk email, phishing, email fraud or other abusive communications.

We may restrict or suspend email services where we reasonably believe an account has been compromised or is being used to send abusive or malicious email.

This may include temporarily disabling outgoing email while an investigation or remediation takes place.

14. Security

Customers are responsible for taking reasonable precautions to protect their websites and accounts.

This includes maintaining appropriate passwords, keeping software up to date and taking reasonable steps to prevent unauthorised access.

If we reasonably believe that an account has been compromised, we may temporarily restrict access, reset credentials or take other reasonable steps to protect the account and our infrastructure.

15. No Affiliation With Hosted Websites

The fact that a website, domain name, application or other online service is hosted on infrastructure provided by Ulatu does not mean that Ulatu owns, operates, endorses, sponsors, approves or is otherwise affiliated with that website or service.

Unless explicitly stated otherwise, Ulatu has no relationship with the operators, owners or content of websites hosted using our services.

The views, opinions, products, services and content presented by customers’ websites are the responsibility of those customers and do not necessarily represent the views or policies of Ulatu.

16. Intellectual Property

Customers retain ownership of content they upload to their hosting account, subject to any rights belonging to third parties.

Customers grant Ulatu the limited rights necessary to store, transmit, back up and otherwise process that content solely for the purpose of providing the contracted services.

Customers must ensure that they have the necessary rights and permissions to use any material uploaded to our systems.

17. Service Availability and Maintenance

We may carry out planned maintenance, upgrades, repairs and other technical work.

Where practical, we will provide advance notice of planned maintenance that is expected to cause significant disruption.

Emergency maintenance may be carried out without advance notice where necessary to protect the stability, security or integrity of our systems.

18. Third-Party Services

Some services provided by Ulatu may depend upon third-party providers, including domain registries, payment processors, software providers, data centres, network providers and other infrastructure providers.

Where a service depends upon a third party, Ulatu cannot guarantee the availability or performance of that third-party service.

Third-party services may also have their own terms and conditions which customers are required to comply with.

19. Limitation of Liability

We will provide our services with reasonable care and skill.

To the maximum extent permitted by law, Ulatu will not be responsible for indirect or consequential loss, loss of profit, loss of business, loss of opportunity or loss of anticipated savings arising from the use or unavailability of our services.

Nothing in these Terms and Conditions excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

Nothing in these Terms and Conditions affects the statutory rights of consumers.

20. Indemnity

Where permitted by law, the customer agrees to compensate Ulatu for reasonable losses, costs or expenses arising directly from the customer’s unlawful use of our services, breach of these Terms and Conditions, or infringement of the rights of another person.

This provision does not apply to the extent that the relevant loss was caused by Ulatu’s own breach of contract, negligence or other unlawful conduct.

21. Changes to Services

We may modify, improve, replace or discontinue individual features or aspects of our services where reasonably necessary.

Where a significant change materially affects an existing customer’s service, we will provide reasonable notice where practical.

Nothing in this section permits us to remove statutory rights or make changes to an existing contract in a manner that is prohibited by law.

22. Changes to These Terms

We may update these Terms and Conditions from time to time to reflect changes to our services, technology, security requirements or applicable law.

Where a change materially affects an existing customer, we will provide reasonable notice where appropriate.

The latest version of these Terms and Conditions will be published on the Ulatu website.

23. Termination

Either Ulatu or the customer may terminate a service in accordance with these Terms and Conditions.

Ulatu may terminate a service where there has been a serious or repeated breach of these Terms and Conditions, where continued provision of the service presents a significant risk to our infrastructure or network, or where we are required to do so by law.

Where appropriate, we will provide reasonable notice and an opportunity to remedy a breach before termination. Immediate termination may be necessary where the circumstances are sufficiently serious to justify it.

24. Data and Privacy

Ulatu will process personal information in accordance with its Privacy Policy and applicable data protection legislation.

Our Privacy Policy explains how we collect, use, store and protect customer information.

25. Governing Law and Jurisdiction

These Terms and Conditions and the relationship between Ulatu and the customer shall be governed by the laws of Scotland.

Subject to any rights a consumer may have under applicable law, the Scottish courts shall have jurisdiction over disputes arising from or relating to these Terms and Conditions or the services provided by Ulatu.

Nothing in this section prevents a consumer from exercising any statutory right to bring proceedings in another jurisdiction where applicable law provides for that right.

26. Severability

If any provision of these Terms and Conditions is found to be unlawful, invalid or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it lawful and enforceable where possible.

The remaining provisions shall continue in full force and effect.

27. Entire Agreement

These Terms and Conditions, together with the relevant service description, order details, applicable promotional terms and any other documents expressly incorporated into the agreement, form the agreement between Ulatu and the customer regarding the relevant service.

If there is a conflict between these Terms and Conditions and a specific service or promotional term presented to the customer at the time of purchase, the specific term will take precedence to the extent of that conflict.
